The Board of Managers of the Walker County Hospital District, Walker County, Texas met in an Emergency Closed Board Meeting, Thursday, September 20, 2018, at 1:00 p.m. at the First National Bank Building (Walker County Hospital District Business Office) 5th Floor Suite # 515, Huntsville, Texas.
Members of the Board present included:
Chairman, Anne Woodard
Vice Chairman, Judy Emmett
Secretary, Jerry Larrison
Manager, Curtis Montgomery
Manager, David Toronjo by phone only.
Also in attendance were: Keli Molina, WCHD Administrative Assistant; Ralph Beaty, WCHD Office Administrator; Trey Wood, Attorney at Bracewell; Attorney by phone Brenda Strama; Janice Davis, Attorney at Bracewell and numerous guest on attached sign in sheet.
Agenda Item #1: Call meeting to order.
Chairman Woodard called the meeting to order at 1:00 p.m.
Agenda Item #2: Adjournment to closed session, which is necessary and authorized by Section 551.001 et seq., specifically Section 551.071 of the Texas Government Code (the Open Meetings Act).
Agenda Item #3: The District Managers will meet with its attorneys by telephone and in-person to ask questions and receive attorney-client privileged information related to:
- Unforeseen circumstances relating to the hospital’s operations that require immediate action
- Developments regarding potential transaction relating to the hospital and hospital operational matters
- Discussion of options related to hospital’s financial issues and its impact on the District and the community.
Agenda Item #4: Reconvene in open meeting if any action is to be taken.
No action taken.
Agenda Item #5: Adjourn meeting at 2:35 pm.
